This End User License Agreement ("Agreement") is a legal agreement between you ("User") and Munir Husseini, Berlin, Germany ("Licensor") for the use of the PrizmikAca desktop application ("Software"). By downloading, installing, or using the Software, you agree to be bound by the terms of this Agreement.

1. License Types

1.1 Community Edition — Non-Commercial License (Free)

You may use the Software free of charge for personal, educational, or open-source projects, as well as by early-stage startups and solo founders operating in a pre-revenue capacity. A Commercial License is required once the entity begins generating revenue. The Community Edition includes all core features except the AI Assistant, which is exclusive to the Commercial License.

1.2 Commercial License (Paid)

If you use the Software in a commercial context — including but not limited to use within a for-profit company, by freelancers for paid client work, or in any revenue-generating capacity — you must purchase a Commercial License. The Commercial License is a one-time purchase per seat and includes all updates within the licensed major version (e.g. all 1.x releases). Each license is tied to one individual user (seat) and covers all supported platforms (Windows, macOS, and Linux). You may install the Software on multiple devices, but only one instance may run at a time per license. A license may not be shared between users. The price is $99 + VAT per seat.

2. Permitted Use

Install and use the Software on any device that you personally own or control, regardless of operating system. A separate Commercial License is required for each user (seat).
Redistribute the original, unmodified Software installer to others (e.g. share the download link with colleagues), provided this Agreement accompanies any such redistribution.
Make backup copies of the Software for archival purposes.

3. Restrictions

You may not:

Modify, adapt, translate, reverse-engineer, decompile, or disassemble the Software.
Sell, sublicense, rent, lease, or lend the Software or any license key to any third party.
Rebrand, repackage, or present the Software as your own product or as part of another product.
Remove or alter any copyright notices, license information, or branding contained in the Software.
Use the Software in a commercial context without a valid Commercial License.

4. Intellectual Property

The Software is the intellectual property of the Licensor. This Agreement does not grant you any ownership rights in the Software. All rights not expressly granted are reserved by the Licensor.

5. No Warranty

The Software is provided "as is" without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, or non-infringement. The Licensor does not warrant that the Software will be error-free, uninterrupted, or free of harmful components.

6. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall the Licensor be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of or inability to use the Software.

7. Data & Privacy

The Software does not collect analytics, telemetry, or personal data. It communicates directly with Microsoft Azure APIs using your own Azure credentials. No data is transmitted to the Licensor or any third party. For details about the website, see the Privacy Policy.

8. Termination

This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice if you fail to comply with any of its terms. Upon termination, you must cease all use of the Software and destroy all copies in your possession.

9. Refund Policy

Commercial License purchases may be refunded within 14 days of purchase if you are not satisfied, provided you have not activated the license key. To request a refund, contact info@prizmik.com.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. The courts of Berlin, Germany, shall have exclusive jurisdiction over any disputes arising from or relating to this Agreement.
